Legal Agreement
Terms & Conditions
These Terms & Conditions (“Terms”) govern your access to and use of the websites, products, subscriptions, consulting, implementation services, digital resources, software-enabled services, and other offerings provided by EH Synergy LLC (“EH Synergy,” “Company,” “we,” “us,” or “our”).
By accessing our website, purchasing a product or service, creating an account, accepting a proposal or order form, or otherwise using our services, you agree to these Terms.
If you do not agree to these Terms, do not purchase or use our services.
1. SERVICES
EH Synergy provides business strategy, consulting, implementation, digital products, and software-enabled services.
Depending on the offer purchased, services may include:
- Strategic consulting and advisory services
- Strategy Walkthroughs
- Website design, redesign, refresh, hosting, and website support
- Website conversion systems
- CRM and client-management setup
- Workflow and automation implementation
- AI Builder access
- Content management services
- Social-media content services
- AI-assisted messaging and response systems
- Local visibility services
- Voice AI and conversational AI services
- Grok bot and AI-agent setup
- HighLevel setup and implementation
- Digital courses, guides, assessments, templates, prompts, and other educational resources
- Custom consulting, technology, marketing, or implementation projects
The exact scope, deliverables, price, billing structure, and service period for a purchase are determined by the applicable checkout page, proposal, statement of work, order form, invoice, or written agreement.
If a service-specific written agreement conflicts with these general Terms, the service-specific agreement controls with respect to that conflict.
2. THIRD-PARTY PLATFORMS
Many EH Synergy services rely on independent third-party platforms.
These may include HighLevel, Stripe, Google, Meta, OpenAI, Anthropic, xAI, telecommunications providers, email and SMS providers, hosting companies, analytics services, payment processors, and other software or infrastructure providers.
Third-party platforms:
- Operate under their own terms and privacy policies
- May change features, pricing, availability, APIs, limits, or policies
- May experience downtime or interruptions
- May suspend or restrict accounts according to their own rules
- May charge separate subscription, usage, carrier, processing, or transaction fees
Unless expressly stated otherwise, purchasing an EH Synergy service does not purchase ownership of or permanent access to a third-party platform.
You are responsible for complying with the terms of any third-party platform you use.
3. PRICING AND PAYMENT
EH Synergy offers a combination of:
- One-time purchases
- Setup fees
- Hourly or session-based services
- Monthly subscriptions
- Recurring managed services
- Usage-based charges
- Custom project pricing
The price displayed on the applicable checkout page, proposal, invoice, or order form controls for that purchase.
Prices may change for future purchases or renewals where permitted by law and subject to any required notice.
Applicable taxes may be added where required.
4. RECURRING SUBSCRIPTIONS AND AUTOMATIC BILLING
Some EH Synergy services automatically renew on a recurring basis.
When you purchase a recurring subscription or service, you authorize EH Synergy and its payment processor to charge the payment method you provide at the stated billing interval until the subscription is canceled or terminated.
Before purchasing, you are responsible for reviewing:
- The recurring price
- The billing interval
- Any setup fee
- Any usage-based charges
- Any separate third-party charges
- The applicable cancellation terms
Unless otherwise stated at checkout, monthly subscriptions renew each month on or near the applicable billing date.
5. CANCELLATION OF RECURRING SERVICES
Unless a service-specific agreement states otherwise, you may cancel a recurring EH Synergy subscription before the next renewal date by:
- Using any cancellation option provided within your account, if available, or
- Contacting EH Synergy by email
Cancellation prevents future EH Synergy subscription renewals after the cancellation becomes effective.
Unless otherwise required by law or stated in a service-specific agreement:
- Cancellation does not retroactively reverse charges that were properly incurred before cancellation.
- No prorated refund is provided for an unused portion of a billing period that has already begun.
- Access may continue through the end of the paid billing period, unless the service is terminated earlier for breach, misuse, nonpayment, security reasons, or another reason permitted under these Terms.
- Usage-based and third-party charges already incurred may be billed after a cancellation request if those charges were generated before the applicable service or usage actually ended.
Cancellation of an EH Synergy service does not automatically cancel third-party subscriptions or accounts that you maintain directly with another provider.
You are responsible for canceling any third-party account that is billed directly to you.
6. SETUP FEES AND ONE-TIME SERVICES
Certain services require a one-time setup fee or one-time project payment.
Setup fees may cover work such as:
- Onboarding
- Account configuration
- System configuration
- Initial implementation
- Workflow setup
- Technical buildout
- Research
- Strategy
- Customization
Unless otherwise stated in writing, setup fees are non-refundable once work has begun.
One-time consulting, advisory, implementation, website, setup, or digital-service payments are generally non-refundable after the applicable work has begun or access has been provided, except where required by law or expressly agreed by EH Synergy in writing.
7. REFUNDS
Except where required by applicable law or expressly stated in writing for a particular offer:
- Setup fees are non-refundable once work begins.
- Completed consulting or advisory sessions are non-refundable.
- Completed implementation work is non-refundable.
- Subscription charges already earned or incurred are non-refundable.
- Usage-based charges already incurred are non-refundable.
- Digital products, downloads, courses, templates, prompts, and other immediately accessible digital materials are generally non-refundable once delivered or accessed.
- Third-party fees paid or incurred on your behalf may be non-refundable.
If you believe you were charged incorrectly, duplicated, or billed for something you did not authorize, contact EH Synergy promptly so we can review the issue.
Nothing in these Terms is intended to waive any non-waivable consumer right or remedy provided by applicable law.
8. FAILED PAYMENTS
You are responsible for maintaining a valid payment method for paid services.
If a payment fails, EH Synergy may:
- Retry the payment
- Notify you of the failed payment
- Pause service delivery
- Suspend access
- Stop active campaigns, automations, or managed services where appropriate
- Terminate the service after reasonable efforts to resolve the payment issue
You remain responsible for valid amounts incurred before suspension or termination.
We are not responsible for losses caused by suspension resulting from nonpayment.
9. USAGE-BASED AND THIRD-PARTY CHARGES
Certain services may generate usage-based charges that are separate from the base EH Synergy fee.
Examples may include:
- SMS and MMS messaging
- Email sending
- Phone calls
- Voice AI usage
- AI model usage
- Telephone-number charges
- Carrier fees
- A2P registration or messaging fees
- Premium workflow or automation usage
- Payment-processing fees
- Third-party software usage
These charges may:
- Be billed directly by the third-party provider
- Be passed through by EH Synergy
- Be billed separately from your subscription
- Be calculated after the underlying usage occurs
- Change when a third-party provider changes its rates
EH Synergy does not control third-party provider pricing and cannot guarantee that such pricing will remain unchanged.
10. PHONE NUMBERS, SMS, VOICE SERVICES, AND A2P
If your service involves phone numbers, SMS, MMS, voice services, or messaging registrations, those services may depend on third-party telecommunications providers, carriers, and platform rules.
You acknowledge that:
- Phone numbers may be provisioned through a third-party provider.
- Messaging campaigns and A2P registrations may require approval.
- Carrier rules, fees, registration requirements, and timelines may change.
- Number portability is subject to carrier and provider requirements.
- Not every number, registration, or configuration is guaranteed to be portable or transferable.
- Porting or release requests may require documentation, verification, fees, and processing time.
If you intend to transfer a business phone number or other portable telecommunications asset at the end of service, you should notify EH Synergy before termination and provide required transfer information promptly.
EH Synergy will reasonably cooperate with valid transfer or porting requests where technically and contractually permitted, but we do not control carrier approval or processing times.
You remain responsible for usage and third-party charges incurred before the number, messaging service, or related feature is actually disconnected, transferred, or terminated.
11. CLIENT ACCOUNTS, SUBACCOUNTS, AND PLATFORM ACCESS
Certain EH Synergy services may involve a platform account, agency-managed subaccount, client portal, hosted system, or licensed software environment.
Unless expressly stated otherwise:
- The underlying platform remains the property of the third-party provider.
- EH Synergy does not transfer ownership of third-party software.
- Access to an EH Synergy-managed environment may depend on an active subscription or service relationship.
- Features available to you may depend on the plan, permissions, provider capabilities, or service purchased.
If your access is terminated, EH Synergy may disable access to Company-managed systems or subaccounts after the applicable service period ends.
Where appropriate, you are responsible for exporting information you wish to retain before access ends.
12. CLIENT DATA AND DATA EXPORT
You retain ownership of business data that you lawfully provide to EH Synergy.
You are responsible for ensuring that:
- You have the right to provide the data to us.
- Your collection and use of customer information complies with applicable law.
- Information you provide is accurate and appropriate for the intended service.
EH Synergy may maintain data for a limited period after service termination for operational, legal, accounting, backup, or security purposes.
Unless a written agreement states otherwise, EH Synergy does not guarantee indefinite access to client data after service termination.
Clients should request or complete any desired export before service access ends.
Where technically reasonable, EH Synergy may provide reasonable assistance with an export or handoff. Additional work outside the purchased scope may require a separate fee.
13. DOMAINS, HOSTING, AND WEBSITE ASSETS
Unless otherwise agreed in writing, clients are responsible for purchasing, renewing, and maintaining their own domain name.
EH Synergy is not responsible for:
- Domain expiration caused by a client’s failure to renew
- Registrar problems outside our control
- Third-party DNS outages
- Loss of a domain caused by inaccurate client information or failure to maintain an account
If EH Synergy provides managed hosting, website access may depend on continued payment of the applicable hosting fee.
If EH Synergy assists with domain configuration, DNS, hosting, or migration, the exact responsibilities are limited to the purchased scope.
14. PROJECT AND SERVICE SCOPE
EH Synergy provides only the work, deliverables, access, and support included in the applicable purchase, proposal, statement of work, or written agreement.
Unless expressly included, services do not include:
- Unlimited revisions
- Unlimited technical support
- Unlimited strategy consulting

- Custom software development
- Work outside the agreed project scope
- Troubleshooting unrelated third-party systems
- Migrations not included in the purchase
- Additional accounts or subaccounts
- Additional bots, agents, workflows, or integrations
- Ongoing maintenance after the applicable service ends
Requests beyond scope may require a separate quote or purchase.
15. CLIENT RESPONSIBILITIES

- Provide required access, credentials, content, approvals, or assets
- Review deliverables in a timely manner
- Maintain lawful rights to content and materials you provide

Delays caused by missing client information, approvals, credentials, content, or cooperation may delay delivery.
16. AI TOOLS, AI AGENTS, AND AUTOMATED SYSTEMS
EH Synergy may provide, configure, demonstrate, recommend, or use artificial intelligence tools, chatbots, voice agents, automation systems, or AI-generated content.
AI systems may produce inaccurate, incomplete, outdated, or inappropriate output.
Unless expressly confirmed by an authorized EH Synergy representative, an AI-generated response does not constitute:
- A binding quote
- A contractual commitment
- Legal advice
- Medical advice
- Financial advice
- Tax advice
- A guarantee of service availability
- A guarantee of results
You are responsible for reviewing AI-generated outputs before relying on, publishing, sending, or implementing them.
You may not use EH Synergy systems to create unlawful, fraudulent, deceptive, abusive, infringing, malicious, or unauthorized content or activity.
17. INTELLECTUAL PROPERTY
Your Materials
You retain ownership of content, trademarks, logos, data, photographs, videos, and other materials that you lawfully provide to EH Synergy.

Custom Deliverables
Ownership or licensing of a custom website, design, content asset, automation, or other custom deliverable is determined by the applicable proposal, order, or written agreement.
Unless expressly transferred in writing, your purchase does not transfer ownership of EH Synergy’s underlying reusable frameworks, systems, templates, methods, licensed software, or third-party technology.
You may not resell, redistribute, sublicense, copy, or commercially reproduce EH Synergy proprietary materials except where EH Synergy expressly permits it in writing.

EH Synergy may receive:
- Commissions
- Referral fees
- Account credits
- Software credits

- Other benefits
when a qualifying referral occurs.
Use of an affiliate or referral link does not increase your obligation to purchase a product.
Referral programs, discounts, bonuses, credits, tokens, and eligibility requirements are controlled by the applicable third party and may change.
EH Synergy does not guarantee that a third-party referral offer will remain available.
20. COMMUNICATIONS
You agree that EH Synergy may send transactional communications reasonably necessary to provide services you request or purchase, including:

- Profit
- Sales
- Leads
- Conversion rates
- Search rankings
- Advertising results
- Business growth
- Brand deals
- Customer acquisition
- Savings

Examples, estimates, calculators, assessments, recommendations, strategies, and projections are illustrative or informational unless expressly stated otherwise.
Your results depend on numerous factors outside EH Synergy’s control.
23. WARRANTIES AND DISCLAIMERS
To the maximum extent permitted by law, services and digital resources are provided on an “as available” and “as is” basis except for any express written warranty specifically provided by EH Synergy.
EH Synergy does not warrant that:
- A third-party platform will remain available
- A particular integration will remain supported
- Software will operate without interruption
- Every automation will function indefinitely without maintenance
- AI output will always be accurate
- Third-party policies or prices will remain unchanged
Nothing in this section excludes a warranty or right that cannot legally be excluded.
24. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, EH Synergy is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of or inability to use our services.
This may include losses arising from:
- Lost profits
- Lost business opportunities
- Platform outages
- Third-party service interruptions
- Carrier problems
- Software changes
- Data loss outside our reasonable control
- Client misuse
- Unauthorized account access caused by client credential practices
- Reliance on unreviewed AI-generated output
To the maximum extent permitted by law, EH Synergy’s aggregate liability relating to a particular paid service will not exceed the amount actually paid to EH Synergy for that specific service during the six months immediately preceding the event giving rise to the claim, or the amount paid for the applicable one-time service if the claim relates solely to a one-time purchase.
This limitation does not apply where prohibited by law.
25. DISPUTES AND PAYMENT DISPUTES
If you believe there is an error relating to a service, invoice, payment, or charge, please contact EH Synergy first so we have an opportunity to investigate and resolve the issue.
Nothing in these Terms requires you to waive a dispute, chargeback, billing-error, or other right that cannot legally be waived.
Knowingly making a false or fraudulent payment dispute may constitute a breach of these Terms and may result in suspension or termination of services.
26. SUSPENSION AND TERMINATION
EH Synergy may suspend or terminate access when reasonably necessary due to:
- Nonpayment
- Fraud or suspected fraud
- Illegal activity
- Abuse
- Security risk
- Misuse of systems
- Violation of third-party platform rules
- Material violation of these Terms
If EH Synergy terminates a recurring service for convenience rather than client breach, any treatment of prepaid unused fees will be determined reasonably based on the circumstances and applicable law.
Termination does not eliminate obligations or charges validly incurred before termination.
27. CONFIDENTIALITY
During a project or service relationship, either party may receive non-public business information from the other.
Each party agrees to use reasonable care to protect confidential information and to use it only as reasonably necessary for the applicable business relationship.
Confidential information does not include information that:
- Is publicly available through no breach of obligation
- Was already lawfully known by the receiving party
- Is independently developed without use of the confidential information
- Is lawfully received from another source
- Must be disclosed by law or valid legal process
This section does not replace a separate nondisclosure agreement where one is required.
28. INDEMNIFICATION
To the extent permitted by law, you agree to indemnify and hold harmless EH Synergy LLC and its owners, employees, contractors, and agents from third-party claims, damages, liabilities, and reasonable costs arising from:
- Content or data you provide without the necessary rights or permissions
- Your unlawful use of the services
- Your violation of third-party rights
- Your material violation of these Terms
This obligation does not require you to indemnify EH Synergy for claims caused by EH Synergy’s own conduct where such indemnification would be prohibited by law.
29. FORCE MAJEURE

- Natural disasters
- Severe weather
- Internet or telecommunications outages
- Utility failures
- Government actions
- Labor disruptions

We will make reasonable efforts to resume affected services when practicable.
30. GOVERNING LAW AND VENUE
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
To the extent permitted by applicable law, disputes arising from these Terms or EH Synergy services will be brought in the appropriate state or federal courts located in Texas.
Nothing in this section overrides rights or venue requirements that cannot lawfully be waived.
31. MODIFICATIONS TO THESE TERMS
EH Synergy may update these Terms from time to time to reflect changes in services, technology, pricing structures, legal requirements, or business practices.
The “Last Updated” date will be revised when these Terms change.
Material changes affecting an ongoing paid service will be handled with any notice or consent required by applicable law or an applicable written agreement.
Changes do not retroactively alter rights or obligations that have already accrued unless legally permitted and agreed where required.
32. ELECTRONIC COMMUNICATIONS AND ACCEPTANCE
You agree that electronic records, notices, checkout confirmations, and communications may satisfy writing requirements where permitted by law.
Clicking a purchase button, checking an acceptance box, electronically signing an agreement, or using a purchased service after receiving these Terms may constitute electronic acceptance where legally effective.
33. SEVERABILITY
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
34. NO WAIVER
Failure by EH Synergy to enforce a provision of these Terms on one occasion does not waive our right to enforce that provision later.
35. ASSIGNMENT
You may not transfer your rights or obligations under a paid EH Synergy service without our written consent where the service is personal to your business or account.
EH Synergy may assign these Terms in connection with a merger, acquisition, sale, restructuring, or transfer of substantially all relevant business assets, subject to applicable law.
36. ENTIRE AGREEMENT
These Terms, together with the applicable checkout terms, proposal, statement of work, order form, invoice, Privacy Policy, and any other written agreement applicable to a purchase, constitute the agreement governing that service.
